These Terms of Service ("Terms") govern your use of the Up And Social website and any marketing services we provide. By using our site or engaging our services, you agree to these Terms.
Acceptance of terms
By accessing this website or entering into a services agreement with Up And Social, you agree to be bound by these Terms and by any additional terms referenced in a signed engagement.
Services described
Up And Social provides marketing services to family law and estate planning firms, including SEO, Google Ads, website design, AI search optimization, and related work. Specific deliverables, timelines, and pricing for engaged clients are set out in a separate services agreement.
Client responsibilities
Clients agree to provide accurate information, respond to reasonable requests for input and approvals, and comply with applicable rules of professional conduct in their jurisdiction. Marketing work depends on timely client cooperation.
Payment terms
Fees, billing cadence, and payment methods are set in each client's services agreement. Unless otherwise stated, invoices are due on receipt, and late payments may pause services and accrue interest at the maximum rate allowed by law.
Intellectual property
Up And Social retains ownership of underlying methodologies, templates, and processes. Deliverables produced specifically for a client become the client's property upon full payment, except for third-party assets subject to their own licenses.
Limitation of liability
To the fullest extent permitted by law, Up And Social's aggregate liability arising out of or relating to these Terms or any engagement is limited to the fees paid by the client in the three months preceding the claim. We are not liable for indirect, incidental, or consequential damages.
Termination
Either party may terminate a month-to-month engagement with 30 days' written notice. Fees earned through the termination date remain payable. Certain provisions, including intellectual property and limitation of liability, survive termination.
Governing law
These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to conflict of laws principles. Any disputes will be resolved in the state or federal courts located in Suffolk County, Massachusetts.
